Terms of Service

Agreement

These terms govern your use of ChalkHR products and services, including ChalkHR Polls and any future apps ("the Service"). ChalkHR is a brand of SmallCloud Technologies ("we", "us", "our").

By installing a ChalkHR app in Microsoft Teams or accessing the Service at chalkhr.com, you agree to these terms on behalf of yourself and the organization whose Microsoft tenant you belong to.

The Service

ChalkHR provides apps that run inside Microsoft Teams and on the web. Our first product, ChalkHR Polls, lets teams create polls and surveys, collect votes, and view results — via a Teams tab, bot commands, or the web interface.

The Service requires a Microsoft 365 account with Teams. Authentication is handled through Microsoft Entra ID. We do not create or manage user accounts ourselves.

You must be at least 16 years of age to use the Service. By using ChalkHR, you represent that you meet this requirement.

Plans and pricing

ChalkHR offers a free tier with usage limits (e.g., active poll count, team size). Paid plans increase or remove these limits. We may change pricing or plan features with 30 days' notice. Existing paid subscribers keep their plan terms for the remainder of their billing period.

The free tier may be used indefinitely without payment. We reserve the right to adjust free tier limits with reasonable notice.

Your content

You retain ownership of all content you create in ChalkHR — poll questions, options, votes, and any other data you submit. We do not claim any intellectual property rights over your content.

You grant us a limited license to store, process, and display your content solely to provide the Service. This license ends when you delete the content or stop using the Service.

Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to access other organizations' data
• Reverse-engineer, scrape, or programmatically extract data from the Service beyond what our APIs provide
• Interfere with the Service's operation or impose unreasonable load
• Use the Service to harass, abuse, or harm others

We may suspend or terminate access for violations of these terms.

Data and privacy

Our handling of personal data is described in our Privacy Policy. By using the Service, you also agree to the Privacy Policy.

Your organization's data is logically separated by Microsoft tenant ID. Organization admins are responsible for managing who has access to Teams and, by extension, ChalkHR within their tenant.

Availability and support

We aim to keep the Service available and performant, but do not guarantee specific uptime. The Service is provided "as is". We may perform maintenance, deploy updates, or experience outages.

Support is available via email. We will make reasonable efforts to respond to issues but do not guarantee response times on the free tier.

Limitation of liability

To the maximum extent permitted by law, SmallCloud Technologies and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising out of your use of the Service.

Our total aggregate liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

Termination

You may stop using the Service at any time by uninstalling the ChalkHR app from Teams. You may request deletion of all your organization's data by contacting us.

We may suspend or terminate access if you violate these terms, or if we discontinue the Service with 60 days' notice.

Force majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond reasonable control, including but not limited to natural disasters, pandemic, acts of government, internet or infrastructure outages, or third-party service failures (including Microsoft Teams or Cloudflare platform outages).

Changes to these terms

We may update these terms from time to time. We will update the "last updated" date at the top. For material changes, we will notify affected organizations through the app. Continued use after changes constitutes acceptance.

Governing law

These terms are governed by the laws of the jurisdiction in which SmallCloud Technologies is incorporated. Any disputes shall be resolved in the courts of that jurisdiction.
